TERMS & CONDITIONS

These Terms and Conditions (“Terms”) govern the use of the Compulala website (the “Website”) and the services offered by Compulala Software and Digital Media Agency (“Compulala“, “we”, “us”, or “our”).

1. ACCEPTANCE OF TERMS

By accessing or using the Website or our services, you (“Client”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to all the terms and conditions, you may not access the Website or use our services.

2. SERVICES

Compulala provides a variety of Digital Marketing and Web Development services, which may include but are not limited to: 

  • DIGITAL MARKETING 
  • SOCIAL MEDIA MANAGEMENT 
  • CREATIVE SERVICE 
  • WEB DEVELOPMENT 
  • WEBMASTER SERVICE 
  • CLOUD MANAGEMENT 

The specific services provided will be outlined in a separate Service Agreement for each project.

3. CLIENT RESPONSIBILITIES
  • You are responsible for providing accurate and complete information to Compulala for the execution of services. 
  • You are responsible for approving all content and strategies before they are implemented. 
  • You are responsible for obtaining any necessary licenses or permissions for materials used in your marketing campaigns. 
  • You will cooperate with Compulala in a timely manner to ensure the successful completion of services.
4. PAYMENT TERMS
  • Payment terms will be outlined in a separate Service Agreement for each project. 
  • Standard payment terms may include a retainer fee upfront and progress payments based on deliverables. 
  • Late payments may be subject to late fees.
5. INTELLECTUAL PROPERTY
    • Compulala retains all ownership rights to our intellectual property, including methodologies, strategies, and creative work developed for the Client. 
    • The Client retains ownership of their trademarks, copyrights, and other intellectual property used in the marketing campaigns.
6. CONFIDENTIALITY

Both Compulala and the Client agree to keep confidential any non-public information disclosed during the course of the engagement.

7. TERM AND TERMINATION
    • The terms of service will be outlined in a separate Service Agreement for each project. 
    • The agreement may be terminated by either party upon written notice of breach of contract or other cause.
8. WARRANTIES AND DISCLAIMERS
  • Compulala provides services on a commercially reasonable basis. We do not guarantee specific results or outcomes. 
  • Compulala disclaims any warranties, expressed or implied, including warranties of merchantability and fitness for a particular purpose.
9. LIMITATION OF LIABILITY
  • Compulala will not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.
10. INDEMNIFICATION

You agree to indemnify and hold harmless Compulala, its officers, directors, employees, and agents from any claims, losses, or expenses arising from your use of the Website or our services.

11. FORCE MAJEURE

Compulala will not be liable for any delays or failures in performance due to causes beyond our reasonable control, such as acts of God, war, terrorism, or natural disasters.

12. GOVERNING LAW AND DISPUTE RESOLUTION
  • These Terms will be governed by and construed in accordance with the laws of United States. 
  • Any dispute arising out of or relating to these Terms will be settled by the Court in United States.
13. ENTIRE AGREEMENT

These Terms, along with the Service Agreement for each project, constitute the entire agreement between you and Compulala regarding the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written. 

14. UPDATES TO TERMS & CONDITIONS

Compulala may update these Terms at any time by posting a revised version on the Website. You are responsible for checking the Terms periodically for updates. Your continued use of the Website or our services following the posting of revised Terms constitutes your acceptance of the revised Terms.
